Keep your company records aligned with your business

A new director, a changed address or an outdated company detail can affect everyday business administration. Vatco helps you identify the correct amendment, prepare the supporting information and track the outcome, while separating CIPC changes from updates needed with SARS, your bank or your own company records.

CHOOSE THE RIGHT TASK

Different changes need different records

“Change my company details” can describe several unrelated tasks. Identify the actual record that needs changing so that an accepted filing does not leave the underlying problem unresolved. Give us the registration number, existing detail, proposed replacement and reason for each change.

  • Management and ownership: A director appointment concerns management; a share transfer concerns ownership. Identify which role is changing before preparing the instruction and supporting records.
  • Company addresses: A registered-office change concerns the official company address. A trading address or invoice contact may be held elsewhere and need separate attention.
  • Dated change list: Where several details are involved, list each change and its date. This helps identify dependencies, separate services and information that should remain untouched.

Director and officer details

Appointments, resignations and corrections require the applicable evidence and authorisations. A disputed removal is not equivalent to an ordinary resignation and may need legal advice before a filing can be prepared.

Address and administrative details

An office move, contact correction or financial year-end change should be considered against the specific record involved. Updating one organisation does not prove that every connected record has also changed.

Ownership and constitutional changes

Share transactions, company-name changes and MOI amendments have their own preparation requirements. We identify when your request belongs in one of these services rather than treating everything as a generic amendment.

START WITH YOUR SITUATION

Find the right starting point for your business

A single current change

Provide the current record and exact replacement, such as an address or director appointment. The scope should match that change rather than a general instruction to update everything.

Historical or unfinished changes

Gather previous resolutions, applications and outcomes. Resolve the difference between what was signed and what CIPC records before adding another filing.

A foreign director appointment

Flag the director’s identity-document position early. The applicable CIPC foreigner-assurance process can add a verification dependency before the appointment is completed.

CIPC authority chargesSet by the actual amendment; an MOI amendment carries R250 where payableDo not apply the MOI fee to every director or address change. Identify the applicable charge separately in the quote.
Missing records and special verificationQuoted after the record and identity reviewHistorical reconstruction, foreign-document verification and additional constitutional work are separate from a straightforward current amendment.

Vatco’s professional fee is confirmed in your written quotation. The total depends on the agreed work; any VAT treatment should be stated in the quote.

BEFORE SUBMISSION

Documents and information to prepare

If earlier changes were prepared but never completed, include those documents too. An old resolution and a current public record may describe different positions. That mismatch needs to be understood before another filing is added. A signature on an old form does not prove that the change was registered or remains authorised today.

  • Every amendmentCurrent disclosure and registration documents

Supply the latest available disclosure or registration records so the recorded position can be compared with your requested change.

  • Every amendmentDated change schedule

List the exact entry, existing detail, replacement, effective date and supporting document for each requested change. Identify records that should remain untouched.

  • People affectedIdentity and contact records

Confirm names and identification details. Flag foreign documents, deceased directors, a sole director or someone unable to participate so the correct route can be assessed.

  • As the amendment requiresResignation, consent or resolution

Provide the relevant signed decision and governing documents. The authority needed depends on the change; one generic resolution is not suitable for every situation.

  • Representative or changed providerMandate and administrator handover

Identify who may instruct the work and receive the outcome. Obtain records held by a previous administrator without sharing passwords through a general enquiry.

OUR APPROACH

Prepare the change, then check the result

We review the requested amendment against the available company information and explain the work that can be included. Where a supporting decision is missing or the records conflict, that issue becomes a preparation task. Filing an incomplete instruction quickly can create more administrative work than resolving the discrepancy first.

  1. 01

    Confirm the scope

Agree which changes are being made, which documents support them and which items require a separate service. The quote should identify official charges where applicable and distinguish ordinary administration from legal or specialist work.

  2. 02

    Review the proposed details

You check the information before submission, including names, addresses and dates. A director or owner should understand what they are authorising. Do not approve a broad amendment merely because a bank or supplier asked for one document urgently.

  3. 03

    Submit and follow up

The request proceeds through the applicable channel once the information is ready. Queries or verification requirements are followed up within the agreed scope. An acknowledgement confirms receipt; it is not always the final evidence that the change has taken effect.

  4. 04

    Read back the outcome

Compare the returned record with the approved instruction. Keep the result alongside the supporting company decision, and note any separate SARS, banking, licensing or internal-record update still required.

COSTS AND TIMING

Set expectations around the actual amendment

The effort required depends on the type and number of changes, the state of the current records and the evidence available. A straightforward address update is different from resolving several historical director changes. Request a quote against your change list so that the price describes a defined task rather than an unclear promise to “fix CIPC”.

  • Document review: Confirm the processing estimate after the documents have been reviewed. CIPC verification, conflicting records and missing signatures can affect the progress of the amendment.
  • Required evidence: For a bank review, tender or transaction, provide the exact document requested and the deadline so the work addresses that specific requirement.
  • Preparation and outcome: The review should distinguish what can be prepared immediately from an accepted amendment or other outcome that depends on a third party.

YOUR QUESTIONS. A CLEARER NEXT STEP.

Company amendments:
frequently asked questions.

01Can you change directors and shareholders together?

We can assess the connected work, but the two changes are not the same transaction. Director amendments concern management records; ownership changes may require transfer or issue documents, a securities-register update and a beneficial ownership review. Explain the intended final arrangement so that each necessary step is included and a director change is not mistaken for a share transfer.

02Can a director simply be removed from the company?

The route depends on the circumstances, the Companies Act and the company’s MOI. A voluntary resignation differs from a contested removal or a deceased-director matter. Provide the relevant evidence and describe any disagreement. Where authority or procedure is disputed, an administrative filing should not be used as a substitute for appropriate legal advice.

03Will a CIPC amendment update my SARS profile?

Do not assume that every detail will update automatically. Some information may move through the interface between CIPC and SARS, while other records require a separate review or update. SARS provides its own registered-details process. After the company amendment, identify which tax-profile details need to be checked and who has authority to make any required change.

04What if the current company records are wrong?

Start with the latest available record and evidence of the correct position. A historical error, an uncompleted filing and a newly authorised change may require different treatment. Vatco can assess the documents and identify the appropriate preparation. We should not invent an effective date or recreate a company decision merely to make a form easier to submit.

05Do I need to provide login passwords?

Do not place account passwords in a general enquiry. Tell us who currently controls the relevant company administration and which records are available. The appropriate authorised access or submission method can then be arranged for the task. Keeping instructions, evidence and access separate makes the amendment easier to manage and protects unrelated information.

06What proof will I have that the amendment is complete?

The evidence depends on the type of amendment and the available CIPC outcome. Your handover should identify the returned confirmation or updated record and compare it with the requested change. Keep that evidence with the signed supporting documents. Any outstanding query or separate update should be clearly listed rather than described as completed.
