THE RIGHT RETURN FOR THE ENTITY

Move from accounting records to the company’s tax position.

The company income tax return reports the entity’s position for the relevant year of assessment. Preparing it requires more than copying a bank balance or the profit shown on a spreadsheet. The financial records and the tax treatment need to be considered together, with supporting schedules for the material figures.

We review the condition of the records before agreeing the filing scope. If bookkeeping is unfinished or financial statements have not been prepared, that work should be recognised as a separate preparation stage. A tax-return fee should not conceal an assumption that complete accounts already exist when the business actually needs its records reconstructed first.

  • Start by identifying the legal entity, financial year-end and periods requiring attention. A company return is distinct from a director’s personal return and from the annual return filed with CIPC.
  • Where a group has several entities, maintain a separate working file for each company so transactions and references do not become mixed.
YOUR SITUATION

Are the company accounts ready, dormant or overdue?

Current year with reconciled accounts

The tax-return work can start from the company’s financial file.

  • Provide the trial balance, ledger, financial statements and prior tax records.
  • Identify who will answer transaction questions and approve the material figures.

No trading or a loss

Describe what happened throughout the year before requesting a nil return.

  • Include expenses, investment income, asset movements and remaining balances.
  • A dormant or loss-making description does not by itself establish that no filing work is needed.

Several years or a new preparer

Agree the order of historical work and obtain the previous working files.

  • Separate accounts reconstruction from return preparation.
  • Foreign interests or connected-entity transactions need disclosure so relevant schedules can be assessed.

TRACEABLE FIGURES

Organise a file that supports the reported figures.

The aim is not to collect every document indiscriminately, but to establish a clear route from the underlying records to the figures used in the return.

This gives the preparer an opportunity to ask the right question before submission instead of discovering later that two people had different interpretations of the same entry.

  • Company returnTrial balance, general ledger and financial statements

Bring the trial balance, general ledger and available financial statements, together with the records behind significant income and expense amounts.

    • SARS requires signed-off annual financial statements with the return for its Small Business and Medium to Large Business categories, including REIT companies; confirm the category rather than assuming the attachment is optional.
  • Where applicableAsset, loan and unusual-transaction schedules

Add schedules for assets, loans and unusual transactions where relevant.

  • Prior tax historyPrevious assessment, return and provisional-tax file

Provide the previous assessment, prior return and provisional tax records.

  • Changes or carried-forward amountsOwnership changes and opening-balance workings

Explain changes in ownership, activity or accounting treatment that may affect comparison with the previous year. A balance carried forward should be checked rather than accepted merely because it appeared in last year’s file.

  • Connected-party activityDirector and related-business transaction records

Identify transactions involving directors or related businesses and separate business spending from personal expenditure.

  • Uncertain entriesJudgement notes and missing-evidence schedule

Where a figure depends on a judgement or incomplete evidence, flag it for review.

REPORT THE ACTUAL YEAR

A quiet year still needs a factual review.

No sales during the year

No sales does not automatically mean that the company was dormant for every tax purpose.

  • There may have been expenses, asset movements, investment income or trading during part of the year.
  • SARS guidance for ITR14 distinguishes the return configuration for dormant and other companies, and filing requirements need to be considered for the relevant period.

Never traded or stopped trading

Explain what actually happened during the year rather than request a “nil return” as a preferred outcome.

  • If the company never traded, retain evidence of its position. If it stopped partway through the year, identify the final trading activity and any remaining balances.
  • A convenient label should not replace the facts.

A company reporting a loss

The same care applies to a company making a loss.

  • A loss in the accounts is not a reason to skip the tax review or assume no return work is necessary.
  • We identify the relevant reporting task and documents, while any closure, deregistration or historical compliance project is handled as a separate decision with its own requirements.
A DOCUMENTED PROCESS

Review, authorise and retain the submission record.

  1. 01

    Agree the records and responsibilities

We first agree the entity, period and condition of the source records.

    • The scope should identify who prepares financial statements, who answers transaction questions and who approves the completed tax information.
    • If earlier years are outstanding, establish the sequence in which they should be reviewed rather than submitting isolated figures without context.
  2. 02

    Prepare and review the return

Next, prepare the return and relevant tax schedules using the applicable SARS requirements.

    • Material differences between accounting profit and taxable income should be supported by the working calculation.
    • You should have an opportunity to review the important facts and unresolved questions before the authorised submission.
  3. 03

Check the assessment and payment position

After filing, retain the acknowledgement and review the resulting assessment against the return and payment position.

    • Submission, assessment and settlement are different stages.
  4. 04

    Handle correspondence within the scope

If SARS requests supporting information, preserve the request and respond to its specific scope.

    • The agreed engagement should state whether that follow-up is included, and the handover should identify any further work rather than treating the first submission screen as the end of every possible tax matter.
A USEFUL YEAR-END FILE

Know what is included before you approve the work.

A company with reconciled accounts needs a different amount of assistance from one with several years of missing records. Tell us about accounting software, available reports and the last period submitted. These details help establish a realistic preparation plan and avoid quoting from turnover alone.

At handover, retain the submitted return, supporting calculation, assessment and a record of any outstanding actions. Decide who monitors future correspondence and the next provisional periods. That continuity is especially useful when directors change or an external preparer takes over, because the reasoning behind the previous return remains available alongside the final figures.

  • The written scope should distinguish return preparation from bookkeeping cleanup, financial statement preparation and a formal dispute or audit response. It should also state which periods are covered.
  • Professional fees are separate from tax payable, and filing support does not guarantee a particular assessment or prevent SARS from asking questions.

YOUR QUESTIONS. A CLEARER NEXT STEP.

Business income tax returns:
frequently asked questions.

01Is ITR14 the same as my CIPC annual return?

No. They serve different purposes and are submitted to different authorities. Keep a separate record of each obligation. Completing a company tax return should not be described as completing the company’s annual CIPC filing, and vice versa. Tell us if you need assistance with both.

02Does a company with no turnover always submit a nil return?

The actual activity and current filing requirements must be reviewed. Expenses, assets and transactions during part of the year can matter even where sales were absent. Provide the records so the return position can be determined rather than choosing “nil” solely because no invoices were raised.

03Can you prepare the return from bank statements alone?

Bank statements are useful evidence but may not provide a complete accounting and tax picture. We assess what records exist and whether further bookkeeping or schedules are required. Any reconstruction should be scoped separately so the figures submitted have an understandable supporting basis.

04Will submitting the return automatically pay the tax?

No. A submission record does not prove settlement. Review the assessment and payment position, identify who is responsible for any payment and retain the relevant evidence. Provisional payments and other credits should be checked in the reconciliation rather than assumed from memory.

05What if SARS requests documents after submission?

Keep the actual request and its reference. The response should address the matters raised with the appropriate records. Confirm whether follow-up is included in the original engagement; a substantial verification, audit or dispute may require a separate scope and further specialist consideration.

06Can you assist with several outstanding company years?

Yes, the first step is to map the missing periods and the available accounts. Earlier balances and assessments can affect the preparation sequence. Explain the history and provide existing records so the catch-up work can be planned and quoted as a defined project.
