Prepare a company registration document pack

Check whether a standard Memorandum of Incorporation suits the business, gather the identity and address information requested by the chosen official channel, and assign someone to review the submission. What this guide helps you produce

This is a preparation workflow for a private company registration. The output is an organised pack that the applicant and directors can check before filing and a handover folder after incorporation. It does not replace the current CIPC application or choose a legal structure for you.

Before you begin

  • Agree who will coordinate the application and who will approve the information.
  • List proposed directors and incorporators using names that match their identity records.
  • Record the intended registered address and a monitored business contact email.
  • Prepare the proposed name choices and record any reservation reference already issued.
  • Write down the intended shareholding and any unresolved ownership questions.

Store identity documents in a restricted folder. A public company profile or shared tender folder should not contain copies of everyone’s identity document. Give each document a clear filename and keep the original separately from any working copy.

Prepare and check the pack in order

  1. Create a company details sheet. Put the proposed name, contact information, address and financial year end in one place. Ask the responsible people to check spelling and numbers rather than relying on details copied from a message thread.
  2. Match each person to the right role. Record directors, incorporators and intended shareholders separately. Do not assume that appointing a director records the ownership of shares.
  3. Resolve the MOI choice. Read the proposed document. Note any decision that needs tailored rules, then obtain suitable advice before signing.
  4. Check identity requirements. Use the checklist for the actual CIPC channel you will use. Check foreign identity verification where relevant. Avoid reusing an old application checklist without comparing it with the current one.
  5. Review the final capture. Compare every field against the agreed sheet. Obtain the required approvals and signatures from the correct people. Keep the application reference and payment evidence.
  6. Read the issued documents. Confirm the name, registration number and people recorded. Log any discrepancy immediately with the application reference and the evidence supporting the correction.

This folder structure is a suggested working method, not an official form. Record the date on which each external record was checked.

Separate registration from the next compliance tasks

After incorporation, check the company’s SARS position, bank arrangements and any registrations linked to employees or the work it will perform. Treat each item as its own task with its own evidence. A company registration document does not demonstrate completion of every business licence or tax registration.

Use CIPC’s beneficial ownership guidance to establish the filing obligations that apply to the company. Keep ownership information current. Add annual returns to the company calendar using the official annual returns FAQ, and distinguish this CIPC process from tax returns submitted to SARS.

Resolve mismatches without starting again blindly

A name is unavailable: check the actual reservation outcome before changing every working document. Agree an alternative and update the same master sheet.

Identity details do not match: compare the typed entry with the original record and the channel’s identity requirements. Do not adjust a person’s legal details merely to bypass validation.

The application appears stuck: retain the reference, date and exact message. Check the official service guidance before lodging an enquiry. Repeated submissions can make the record harder to follow.
