Can I register a company before deciding on its final name?

Reviewed 7 min read

Quick answer

Yes, a South African profit company can be incorporated without a reserved name and receive a registration number based name with the prescribed South Africa description. A chosen name can be added later through the formal name change process. This is not the same option for a non-profit company. Plan how contracts, bank records and invoices will identify the company in the meantime, and assess any trading name or brand separately before relying on it.

Separate the need for a company from the final brand decision

Founders sometimes need to establish an entity while they are still choosing a brand. They may be negotiating ownership, arranging premises or preparing supplier applications. The name discussion can take longer than the decision about who will own and manage the company.

CIPC’s current name reservation guidance allows a profit company, including a private company, to be incorporated without a reserved name. Its registration number becomes the registered name with the prescribed South Africa description. A non-profit company must have a name and should not be assumed to have the same option.

This route does not remove the need to make the other incorporation decisions carefully. Directors, share arrangements, the MOI and registered office still matter. It simply separates the initial entity registration from a later choice of name.

Understand what the company is called before the change

The company still has a legal identity. It is not unnamed in the sense of being impossible to identify, and it should not be described as a temporary company that only becomes real after the brand is chosen. Use the particulars shown on the official registration evidence.

Record the registration number accurately and keep the certificate accessible to the people preparing agreements and applications. Avoid inventing a placeholder brand and presenting it as the registered name. If a form asks for the legal company name, provide the legal name rather than the founders’ preferred future wording.

The Companies Act provisions on names and company identification establish the legal framework. In practice, the registration number is also a useful continuity reference when the name is changed later. Keep it visible in the records so that old and new documents can be connected.

Decide whether registering first fits the actual need

SituationPotential reason to register firstWork to plan
Brand options remain unsettledThe ownership and entity structure are already agreedLater reservation and formal name change
Bank onboarding is being preparedThe bank needs an incorporated entity to assessBank-specific handling of the current and later name
Contracts are being negotiatedThe intended contracting party needs clear identityAccurate current particulars and later notification
Ownership is still disputedA name delay is not the only unresolved issueResolve governance before relying on registration

Do not choose the route merely because it sounds faster. The useful question is whether the company can be established correctly now and whether the later administrative changes are understood. No processing time or acceptance outcome should be assumed.

A trading name is a separate choice

CIPC’s guidance permits a company registered with a number based name to use a trading name, subject to applicable law. That can help customers recognise the business, but it does not turn the trading name into the company’s registered name or automatically create trademark rights.

Investigate the proposed brand before using it publicly. A name that has not yet been reserved may conflict with another business or right. An available domain or social media handle does not settle the legal question.

Keep the legal supplier clear on contracts, invoices and other relevant documents. The article on trading names during a registered name change explains how the two identities can be presented accurately without confusing the customer.

Ask the bank how it will handle the current name

A company with a number based name can approach a bank, but the bank applies its own onboarding and verification requirements. Provide the actual registration evidence and explain that a later name change may be planned. Do not promise that every bank or product will use the same process.

Ask what documents will be needed if the name changes after the account is opened. Confirm who will give the instruction and what happens to payment references, statements and linked products. A future change may be straightforward or may require additional verification, depending on the bank’s requirements.

For a specific documentary example, FNB’s KYC guide identifies company registration and name change evidence. It should be read as one bank’s guide, not a universal guarantee. The bank must confirm the requirements for the actual account and company.

Use the current legal particulars when signing agreements

If the company enters a lease or supplier contract before the final brand is chosen, identify it by its current registered particulars. Make sure the signatory has authority and that the document refers to the intended company rather than to an individual founder.

A later name change does not normally create a new legal person, but counterparties may need updated information and supporting evidence. Review any notification requirement in the agreement and plan how the change will be communicated.

Keep older signed documents unchanged as historical records. Do not replace the legal name on an executed agreement as if the new name had always applied. Where an update is needed, use the appropriate notice, confirmation or amendment with the original document retained.

Add the chosen name through the formal process

Once the founders have agreed a suitable name, obtain the required reservation and follow the name change process. CIPC’s company name change guide describes the reservation and amendment route. The change involves the MOI and the required company decision.

Do not treat a successful reservation as proof that the existing company has already changed its name. Keep the reservation, company authority, submission and processed outcome distinct. Establish the effective name from the official evidence before updating records that claim to show the registered name.

Check the reservation’s validity and the current filing requirements when ready to proceed. If an agent reserved the name, confirm the relevant control and transfer arrangements. A name held under another customer profile should not become an unexpected obstacle after the company has committed to the brand.

Plan a targeted update after the name is confirmed

List the records that use the registered name: bank accounts, SARS information, invoices, customer and supplier profiles, insurance, licences and significant agreements. Assign responsibility for each update and retain the evidence submitted and confirmed.

The company’s registration number helps connect the earlier and later records. Explain that continuity clearly to counterparties. Avoid presenting the name change as a transfer to a new company when only the name has changed.

For tax invoices, use the guidance in updating invoices after CIPC approves a name change. The purpose is consistent and accurate supplier information. A branding refresh should not obscure the VAT details, legal identity or payment information customers need.

Keep a simple naming timeline

Imagine founders register a private company under its number based name while testing several possible brands. They open the company records and negotiate a service contract using the current legal particulars. Later they obtain a name reservation and complete the formal change.

The timeline should show incorporation, the contract date, reservation and the effective name change. The company can then explain why the contract and later invoices use different names without suggesting that two separate suppliers exist.

If the founders instead begin public marketing before checking the brand, registration under a number does not protect them from a conflict. The company naming route and the trademark assessment still need to be coordinated. The guide to company names and trademark rights explains that boundary.

Prepare the company correctly and budget for the later administration

For name reservation support, explain whether the company already exists under its registration number or is still to be incorporated. Provide the preferred names and any genuine existing brand rights or association evidence.

Keep any customer-facing brand approval separate from the legal name decision. A founder may approve a logo concept while the company has not yet approved a name amendment. Record which decision was made, by whom and for what purpose. This avoids instructing a designer, bank or administrator on the basis of an informal message that was never intended to authorise the official change. Use the completed registration evidence as the reference when updating legal particulars.

Before registering first, agree who will manage the later change and which records will need updating. This keeps the route practical: the entity can be established when appropriate, while the final name is adopted through a separate, documented process rather than an informal edit to stationery.
